Please carefully review these comprehensive Terms of Service. They constitute a legally binding monolithic agreement between you and StudyMate Inc. regarding your use of our diverse range of interactive study tools, artificial intelligence conversational models, and peer-to-peer networking capabilities.
1. Acceptance of Terms and Service Eligibility
By establishing an account, authenticating via OAuth, or otherwise interfacing with the StudyMate API layer, you signify your unequivocal acceptance of these Terms. If you are operating on behalf of an educational institution (via StudyMate Campus), you warrant that you possess the requisite authority to bind said entity to these constraints.
2. Acceptable Use and AI Interaction Boundaries
The Spark AI is designed as a pedagogical construct. You agree not to reverse-engineer, decompile, or perform adversarial prompt injection attacks with the intent of bypassing safety guardrails. Utilizing our platform to generate unsolicited commercial communications, disseminate hallucinatory misinformation, or automate illicit academic submissions (plagiarism) will result in immediate and irrevocable termination of all services without right of appeal.
3. Intellectual Property and Licensing Algorithms
All proprietary algorithms, user interface paradigms, monolithic source code, structural databases, and the trademarked Spark AI persona remain the exclusive intellectual property of StudyMate Inc. We grant you a revocable, non-exclusive, non-transferable global license solely for personal, educational enrichment. Any user-generated content (notes, quizzes) remains yours, though you grant us a perpetual license to use it strictly for internal machine learning refinement.
4. Subscription Obligations and Billing Mechanisms
Premium tiers (StudyMate+ and Campus) require recurring financial commitments. Fees are billed in advance on a synchronized cyclic basis and are definitively non-refundable, barring specific statutory exceptions. We reserve the absolute right to dynamically adjust regional pricing algorithms with a standard 30-day prior telemetric notification to all affected billing accounts.
5. Limitation of Liability and As-Is Provision
StudyMate and the Spark infrastructure are provided on an 'AS-IS' and 'AS-AVAILABLE' basis. To the maximum extent permitted by applicable jurisprudence, StudyMate Inc. disclaims all warranties, express or implied. Under no circumstances shall our aggregate liability for any operational downtime, academic misdirection induced by AI hallucinations, or unforeseen data evaporation exceed the total amount remitted strictly within the preceding twelve-month epoch.
